Gloster Digital Group Public Limited Company (company registration number: 01-10-143270; registered office: 1038 Budapest, Fürdő u. 2.; hereinafter: the Company) hereby provides the following information in accordance with applicable laws and regulations, in particular Act CXX of 2001 on the Capital Market (“Tpt.”), Decree No. 24/2008. (VIII. 15.) PM on the detailed rules governing disclosure obligations relating to publicly traded securities, and the General Rules of the Budapest Stock Exchange, hereby informs the Esteemed Investors of the following.

Gloster Digital Group Nyrt. hereby informs its esteemed investors that, in order to streamline the operations of the Gloster Group and increase its efficiency, the Company’s Board of Directors proposes to prepare for the merger and consolidation of GlosterCloud Holding Zrt., Gloster-P92 Informatikai Kft., Gloster Cloud Zrt., and Systemfarmer Zrt.

The Company expressly states that this resolution of the Board of Directors does not constitute a final corporate resolution regarding the merger of the companies concerned. The competent bodies of the companies concerned are authorized to decide on any potential merger in accordance with the relevant laws and corporate documents.

The Company will keep our esteemed investors informed of the progress of the process and any further decisions in accordance with its legal and capital market disclosure obligations.
