Extraordinary announcement regarding the resignation of a member of the Board of Directors

The Gloster Digital Group Public Limited Company (company registration number: 01-10-143270; registered office: 1038 Budapest, Fürdő u. 2.; hereinafter: the Company) hereby provides the following information in accordance with applicable laws, in particular Act CXX of 2001 on the Capital Market (“Tpt.”), Decree No. 24/2008. (VIII. 15.) PM on the detailed rules governing disclosure obligations regarding publicly traded securities, and the General Rules of the Budapest Stock Exchange, hereby informs the Esteemed Investors of the following.

Tamás Járdán, a member of the Company’s Board of Directors, resigned from his position on the Board as of January 5, 2026.

The Company’s Board of Directors would like to take this opportunity to thank Tamás Járdán for his work on Gloster’s governing body.

‍

The Company further informs its esteemed investors that, pursuant to Act V of 2013 on the Civil Code and the Company’s Articles of Association, the composition and operation of the Board of Directors continue to comply with the requirements of the law and the Articles of Association, and thus the Board of Directors is able to perform its duties lawfully and without disruption.
