Regarding Decision No. H-JÉ-III-105/2025, adopted by the MNB in the course of its ongoing supervision
Gloster Digital Group Public Limited Company ( company registration number: 01-10-143270; registered office: 1038 Budapest, Fürdő u. 2.) hereby informs its esteemed investors of the following in accordance with applicable laws and regulations, in particular Act CXX of 2001 on the Capital Market (“Tpt.”) and the General Rules of the Budapest Stock Exchange.
As part of its ongoing supervision of the Issuer, the Hungarian National Bank (headquarters: 1054 Budapest, Szabadság tér 8-9; branch office: 1122 Budapest, Krisztina krt. 6; hereinafter: MNB), in its Decision No. H-JÉ-III-105/2025 dated June 23, 2025, and sent to the Issuer on June 24, 2025, via the MNB’s ERA system, ruled as follows :
“The MNB warns the Issuer that, in the future, it must at all times comply with its extraordinary disclosure obligations in accordance with applicable laws, under which it must, without delay, no later than one business day, inform the public of any information that directly or indirectly affects the value or yield of the security or the Issuer’s reputation.”
The MNB hereby notifies the Issuer that it is required to publish the number of this decision, its operative provisions, and its date of issuance immediately following the announcement, but no later than one business day thereafter, in accordance with the rules governing the Issuer’s extraordinary disclosure obligations.
The MNB hereby notifies the Issuer that if it fails to comply with the obligations set forth in this decision, or complies with them only partially or late, the MNB may take further measures provided for by law, including the imposition of a supervisory fine.
No procedural costs were incurred in the process of establishing the facts on which the decision was based.
There is no right of appeal against this decision; however, any person whose rights or legitimate interests are directly affected by the administrative action may, within 30 (thirty) days of notification, file an administrative lawsuit against the decision with the Budapest Metropolitan Court by submitting a statement of claim alleging a violation of the law.
The complaint, addressed to the Budapest Metropolitan Court, must be filed with the MNB using the form submission support service. The form submission support service is available at: https://www.mnb.hu/felugyelet/engedelyezes-es-intezmenyfelugyeles/hatarozatok-es-vegzesekkeresese. Legal representation is mandatory in this lawsuit.
The filing of a complaint does not have the effect of postponing the entry into force of the decision; however, a person whose rights or legitimate interests are infringed upon by an administrative act or by the continuation of a situation caused thereby may request immediate legal protection in order to avert an imminent adverse effect, to temporarily resolve the disputed legal relationship, or to maintain the status quo giving rise to the legal dispute.
"As a general rule, the court decides the case without a hearing. The plaintiff may request a hearing in the complaint. Failure to request a hearing does not constitute grounds for a ruling in the plaintiff’s favor."
