The Gloster Infocommunications Public Limited Company (New name approved on April 28, 2025, pursuant to General Meeting Resolution No. 13/2025 (04.28.), but not yet registered: Gloster Digital Group Public Limited Company—pending registration; company registration number: 13-10-042012; tax ID number: 27294260-2-13; registered office: 2142 Nagytarcsa, Csonka János Street 1/A, Building A/2 – as of April 28, 2025, its registered office, as approved by General Meeting Resolution No. 14/2025 (04.28.), but not yet registered: 1038 Budapest, Fürdő u. 2. – pending registration; hereinafter: the Company, Gloster) hereby informs the Esteemed Investors of the following in accordance with the relevant laws and regulations, in particular Act CXX of 2001 on the Capital Market (“Tpt.”) and the General Rules of the Budapest Stock Exchange.

Gloster and WhiteIT Fintech Zrt. are planning to develop an AI-based fintech software platform for the stock market.

On behalf of Gloster: Viktor Szekeres, Chairman of the Board of Directors, and on behalf of WhiteIT Fintech Zrt. (registered office: 1095 Budapest, Lechner Ödön fasor 1, 7th floor, Door 16, company registration number: 01-10-142606), Péter Lóki, a member of the Board of Directors, signed a letter of intent today—May 12, 2025—regarding the joint development of an advanced, prediction and decision-support system based on artificial intelligence, which, through the use of deep learning and proprietary AI models, is capable of processing historical and real-time stock market data, performing quantitative modeling, and generating algorithmic trading signals and investment strategies.

The goal of the system is to create a professional, AI-driven decision intelligence platform capable of detecting predictive patterns, generating signals, and ensuring real-time integration with brokerage systems through the processing of structured and unstructured capital market data (e.g., prices, trading volume, fundamental news).

The goal is to create a solution that delivers measurable business results—marketable both domestically and internationally—that increases the effectiveness of decision support, reduces the risk exposure of portfolios, and enables institutional and retail investment models to scale.

The relevance of the project is further underscored by the fact that the use of generative artificial intelligence in the global financial sector is growing at an annual rate of 38.7%, with the market value expected to expand from 2.7 billion USD in 2024 to 18.9 billion USD by 2030. Gloster has already demonstrated its expertise in artificial intelligence: as part of a solution it delivered to BMW, the company used its own AI-based systems to optimize manufacturing resources and developed predictive testing templates.

WhiteIT Fintech Zrt. focuses primarily on supporting capital market innovations and fintech developments. Throughout the project, the company draws on its deep trading and market experience to support the design of the system’s logical and strategic architecture, the accurate interpretation of user behavior, and the validation and financial modeling of trading algorithms.

The project’s professional advisor is Ferenc Virág, one of the best-known and most experienced figures in the Hungarian capital market. Over the course of his more than thirty-year career, he played a founding role in the establishment of Equitas and Random Capital (the latter of which was later acquired by Erste Bank). The innovative approach to the discount brokerage model championed by Ferenc Virág has made modern capital market instruments accessible to thousands of investors in Hungary.

This collaboration aligns closely with Gloster’s “LEVEL UP” strategy through 2026, which prioritizes AI-based solutions, business development centered on exportable software products and technological innovations, and further increasing the ratio of profitability to recurring revenue.

The Parties will keep Investors informed of the steps to be taken following the signing of the letter of intent.
